About These Terms

These Terms of Service ("Terms") govern your use of the services provided by Luminas Business Solutions ("LBS", "we", "our", "us"), including our website, WhatsApp channel, AI assistant (Lumi), and all professional advisory services.

By contacting us, using our website, messaging us on WhatsApp, or engaging our services, you agree to these Terms. If you do not agree, please do not use our services.

These Terms should be read alongside our Privacy Policy, which explains how we handle your personal data.

Our Services

LBS provides business services to individuals and organisations in the Maldives, including:

• Corporate registration and business structuring assistance
• SME loan application preparation (documentation and submission support)
• Bookkeeping and accounts management
• General business advisory and compliance support

Audit services are outside our scope. All audit-related inquiries will be referred to a qualified external party.

Using Lumi AI Assistant

When using Lumi, you agree that:

• Lumi's responses are informational and general in nature — they do not constitute professional advice
• Lumi cannot access your existing client records, case files, or financial data
• Lumi will never quote prices, confirm loan eligibility, or make commitments on behalf of LBS
• Complex or sensitive matters will be escalated to a human team member
• Your conversation with Lumi may be reviewed by LBS staff for quality and follow-up purposes

Lumi is provided as a convenience. LBS accepts no liability for decisions made based solely on responses from Lumi.

Client Responsibilities

To enable us to deliver our services effectively and lawfully, you agree to:

• Provide accurate, complete, and up-to-date information when requested
• Notify us promptly of any changes to information previously provided
• Not use our services for any unlawful purpose or in violation of Maldivian law
• Not submit false, misleading, or fraudulent documents or information
• Cooperate with LBS staff and respond to reasonable requests in a timely manner

LBS reserves the right to decline or terminate an engagement if a client provides false information or requests assistance with activities that are unlawful.

Fees & Payment

Our fees are provided in a formal written quotation before any chargeable work begins. No fees are charged without your prior agreement.

• All prices are in Maldivian Rufiyaa (MVR) unless otherwise stated
• Payment terms are specified in your service agreement or quotation
• Government fees, third-party registration costs, and similar disbursements are charged at cost and are separate from LBS service fees

LBS does not accept or process payments through WhatsApp, Lumi, or any unofficial channel. All payments should be made through methods specified in your quotation or invoice.

Confidentiality

We treat all client information with strict confidentiality. LBS staff are bound by confidentiality obligations. We will not disclose your information to third parties except as described in our Privacy Policy or as required by law.

We expect clients to likewise treat any proprietary processes, templates, or internal LBS materials as confidential and not share them without written permission.

Limitations of Liability

LBS provides services with reasonable care and professional diligence. However, to the fullest extent permitted by applicable law:

• We are not liable for outcomes determined by third parties (government agencies, banks, regulators)
• We are not liable for delays caused by regulatory bodies or circumstances beyond our control
• Our total liability in connection with any service engagement shall not exceed the fees paid for that specific engagement
• We are not liable for indirect, consequential, or incidental losses

Nothing in these Terms limits our liability for fraud, wilful misconduct, or liability that cannot lawfully be excluded.

Intellectual Property

All content on the LBS website, including text, design, logos, and templates, is the property of Luminas Business Solutions or its licensors. You may not reproduce, distribute, or create derivative works from our content without written permission.

Documents we prepare on your behalf (e.g., business plans, application forms) are delivered to you for your use. LBS retains the right to use anonymised, non-identifiable process templates and frameworks.

Termination

Either party may terminate a service engagement by providing written notice. On termination:

• All outstanding fees for work completed to date become immediately payable
• LBS will return or securely destroy client documents as instructed
• Confidentiality obligations survive termination

LBS may suspend or terminate services immediately if a client is in material breach of these Terms or if continuing the engagement would expose LBS to legal or reputational risk.

Governing Law

These Terms are governed by the laws of the Republic of Maldives. Any disputes arising from or related to these Terms or our services shall be subject to the exclusive jurisdiction of the courts of the Maldives.

Changes to These Terms

We may update these Terms from time to time. We will update the "Last updated" date at the top of this page when changes are made. Material changes will be communicated to active clients. Continued use of our services after an update constitutes acceptance of the revised Terms.
